1. ACCEPTANCE OF TERMS
By accessing or using Sure Vendors ("Service"), you agree to be bound by these Terms and Conditions. If you do not agree, please do not use the Service.
2. DESCRIPTION OF SERVICE
Sure Vendors is a SaaS platform designed to help Nigerian vendors and small business owners record sales, track customer payments, manage expenses, track instalments, send WhatsApp broadcasts, generate receipts, manage customer debts, promote products through the Sales Booster advertising feature, and raise funds through the Crowdfunding feature.
3. USER ACCOUNTS
You must provide accurate information when creating an account. You are responsible for maintaining the security of your account and all activity that occurs under it. You must be at least 18 years old to use this Service.
4. FREE AND PAID PLANS
The free plan allows up to 10 order recordings per month at no cost. The paid plan provides unlimited order recordings for the duration purchased. Subscription fees are non-refundable once a plan is activated and in use.
5. RECEIPT GENERATOR
The Receipt Generator tool allows you to create and download professional payment receipts for your customers. Receipts generated are for record-keeping purposes only. Sure Vendors is not responsible for any disputes arising from receipts issued through the platform.
6. REFERRAL PROGRAMME
Users who refer new vendors to Sure Vendors may earn referral commissions as set by the platform administrator. Commission rates and minimum payout amounts are subject to change at any time. Earned commissions can be requested for payout subject to the minimum threshold. Sure Vendors reserves the right to withhold or reverse commissions if fraudulent referral activity is detected. Payouts are processed manually and may take up to 7 business days.
7. SALES BOOSTER — ADVERTISING SERVICE
The Sales Booster is a paid advertising feature that allows vendors to promote their products via video ads displayed to buyers within Nigeria. By submitting a Sales Booster campaign, you agree to the full Advertising Terms & Agreement available at /advertising-terms. Key points include:
- You must own or be authorised to sell the advertised product.
- Your video must not contain illegal, misleading, harmful or offensive content.
- Payment for a campaign covers the daily budget multiplied by the number of days, plus a service fee set by the platform.
- Payments are non-refundable once your ad has been approved and started running.
- Sure Vendors reserves the right to reject or remove any campaign that violates our advertising policies.
8. CROWDFUNDING FEATURE
Sure Vendors provides a Crowdfunding feature that allows registered vendors to create public fundraising campaigns and receive voluntary financial contributions from supporters ("Contributors"). By using the Crowdfunding feature — whether as a campaign creator or as a Contributor — you agree to the following terms:
8.1 NATURE OF CONTRIBUTIONS
All contributions made through the Crowdfunding feature are strictly voluntary donations. Contributors acknowledge that:
- Contributions are not investments, loans, or purchases. No equity, ownership, interest, or goods are offered or implied in exchange for a contribution.
- There is no guarantee that a campaign will reach its stated goal or that contributed funds will produce any specific result or outcome.
- Contributions are final and non-refundable unless otherwise determined by Sure Vendors at its sole discretion.
8.2 PLATFORM ROLE AND LIMITATION OF LIABILITY
Sure Vendors acts solely as a technology platform that facilitates the connection between campaign creators and Contributors. Sure Vendors is NOT a charity, non-governmental organisation, financial institution, or investment vehicle. Specifically:
- Sure Vendors does not verify, endorse, or guarantee the accuracy of any information provided in a campaign, including business details, financial needs, or intended use of funds.
- Sure Vendors is not responsible for how a campaign creator uses the funds received.
- Sure Vendors is not liable for any loss, harm, or disappointment suffered by Contributors arising from any campaign.
- Sure Vendors is not responsible for the failure of a campaign to reach its goal.
- Sure Vendors is not a party to any agreement or understanding between a campaign creator and a Contributor.
8.3 CAMPAIGN CREATOR RESPONSIBILITIES
If you create a crowdfunding campaign, you agree that:
- All information provided in your campaign is truthful, accurate, and not misleading.
- You will use funds raised for the purpose stated in your campaign.
- You will not use the Crowdfunding feature to solicit funds for illegal purposes, fraudulent schemes, or activities that violate Nigerian law.
- You take full personal and legal responsibility for your campaign content and the use of any funds received.
- Sure Vendors may remove, suspend, or deactivate your campaign at any time and for any reason, including but not limited to suspected fraud, policy violations, or complaints from Contributors.
8.4 CONTRIBUTOR RESPONSIBILITIES
If you make a contribution through the platform, you acknowledge that:
- You are making a voluntary, non-refundable donation at your own risk.
- You have independently assessed the campaign before contributing and are not relying solely on Sure Vendors to verify its authenticity.
- Sure Vendors is not responsible for any claims or representations made by campaign creators.
8.5 SERVICE FEE
Sure Vendors charges a platform service fee on all crowdfunding withdrawals as configured by the administrator. This fee is automatically deducted from the withdrawal amount before the net payout is processed to the campaign creator. The service fee is non-refundable under any circumstances, including in cases where a withdrawal request is later disputed or reversed. The applicable fee rate is displayed at the time of withdrawal request and may be updated by the platform at any time.
8.6 PAYMENT PROCESSING
All contribution payments are processed by third-party payment gateways (Paystack or Flutterwave) as configured by the platform. Sure Vendors is not responsible for failed, delayed, or duplicate transactions caused by payment gateway errors. By making a contribution, you agree to the terms of service of the applicable payment gateway.
8.7 WITHDRAWAL AND PAYOUT
Campaign creators may request withdrawals of their available crowdfunding balance subject to the minimum withdrawal threshold set by the platform. Withdrawal requests are processed manually by the platform administrator and may take up to 5 business days. Sure Vendors reserves the right to delay, hold, or reject a withdrawal request if there is reason to believe the campaign involves fraudulent activity or a policy violation.
8.8 CAMPAIGN DEACTIVATION
Sure Vendors reserves the right to deactivate, remove, or permanently delete any crowdfunding campaign at any time without prior notice, for any reason including but not limited to suspected fraud, legal complaints, misleading content, or violation of these Terms. Campaign creators whose campaigns are removed for policy violations forfeit any right to outstanding balances pending investigation.
8.9 NO FINANCIAL REGULATION
The Crowdfunding feature on Sure Vendors is an informal peer-support tool for small Nigerian businesses and is not regulated by the Securities and Exchange Commission (SEC) of Nigeria, the Central Bank of Nigeria (CBN), or any other financial regulatory body. Sure Vendors does not facilitate investment products or regulated financial services. Users participate entirely at their own risk.
9. PAYMENTS
All subscription and advertising payments are processed through Paystack or Flutterwave as configured by the platform. By making a payment, you agree to the respective payment provider's terms of service. All amounts are in Nigerian Naira (₦). Sure Vendors is not responsible for failed or duplicate transactions caused by payment gateway errors.
10. PROHIBITED USE
You may not use the Service to send spam, conduct fraudulent activities, misrepresent your identity or business, upload illegal content, or violate any applicable Nigerian law. You may not use the Crowdfunding feature to raise funds under false pretences or for purposes other than those stated in your campaign. Sure Vendors reserves the right to suspend or permanently ban any account found in violation of these terms.
11. INTELLECTUAL PROPERTY
All content, trademarks, features, and intellectual property on Sure Vendors belong to Sure Vendors and its licensors. You may not copy, reproduce, or distribute any part of the Service without prior written permission.
12. LIMITATION OF LIABILITY
Sure Vendors is provided "as is" without warranties of any kind. We shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to loss of revenue, data, business opportunities, or losses arising from your participation in any crowdfunding campaign, whether as a creator or Contributor.
13. DATA & PRIVACY
Your use of Sure Vendors is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
14. CHANGES TO TERMS
We may update these Terms at any time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. Major changes will be notified via email or in-app notification.
15. GOVERNING LAW
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the jurisdiction of Nigerian courts.
